Terms of Service

Last updated: [DATE]

These Terms of Service ("Terms") govern your access to and use of the CiteFlo AI search visibility tracking service at citeflo.app and related applications (the "Service"), operated by [LEGAL ENTITY NAME], a [STATE] [limited liability company / corporation] ("CiteFlo," "we," "us," or "our").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

1. The Service

CiteFlo is a subscription tool that tracks how AI search engines describe and recommend brands. The Service scans AI engines using keywords and prompts you configure, records the results, and provides analytics, dashboards, and reports based on those results. Specific features and limits depend on your subscription plan.

We may modify, add, or remove features of the Service over time. We will not materially reduce the core functionality of a paid plan during a billing period you have already paid for without offering a remedy.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
  • One account may not be shared across more users than your plan's seat allowance permits.

3. Subscriptions, Billing, and Payment

3.1 Paid service, no free tier or trial

The Service is offered on paid subscription plans only. We do not offer a free tier or a free trial. A valid payment method is required to use the Service.

3.2 Plans and pricing

Current plans, prices, and included limits (such as tracked keywords, projects, and seats) are described on our pricing page. Prices are stated in US dollars unless otherwise indicated and are exclusive of taxes unless stated otherwise.

3.3 Billing cycle and auto-renewal

Subscriptions are billed in advance on a recurring basis (monthly unless otherwise stated) and automatically renew at the end of each billing period until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal.

3.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; you will retain access through the period you have paid for and will not be charged for the following period. We do not require contracts or impose cancellation fees.

3.5 Refunds

Except where required by law, payments are non-refundable, including for partial billing periods, unused keywords or scans, or periods of non-use. Because onboarding and scans incur real third-party costs on our side, we do not provide prorated refunds for cancellations mid-period.

3.6 Price changes

We may change our prices. We will give you reasonable advance notice of any price increase, and the new price will apply from your next renewal after the notice period. If you do not agree to a price change, you may cancel before it takes effect.

3.7 Failed payments

If a payment fails, we may suspend or downgrade your access until payment is resolved. We may retry payment and, if it continues to fail, terminate the subscription.

3.8 Taxes

You are responsible for any applicable taxes, and we may charge tax where required.

4. Plan Limits and Fair Use

Each plan includes defined limits (such as the number of tracked keywords, projects, seats, and tracked competitors). You agree not to exceed your plan's limits or to circumvent them. Scan frequency is a fixed feature of the Service set by us and is not user-configurable. We may enforce limits technically and may throttle, suspend, or require an upgrade if your usage materially exceeds your plan or places undue burden on the Service.

5. Acceptable Use

You agree not to, and not to permit anyone to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Submit keywords, prompts, URLs, or other content that infringes the intellectual property, privacy, or other rights of any third party, or that is unlawful, defamatory, or harmful;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks;
  • Interfere with, disrupt, or overload the Service, or circumvent rate limits, plan limits, security, or access controls;
  • Reverse engineer, decompile, scrape, or copy the Service or its underlying software, except to the extent this restriction is prohibited by law;
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan (for example, agency use on behalf of clients);
  • Use the Service to build or train a competing product, or to misappropriate our data or methods;
  • Use automated means to access the Service other than through features we provide.

We may investigate and take appropriate action, including suspension or termination, for violations.

6. Your Data and Content

6.1 Your content

You retain ownership of the data you submit to the Service (your domains, keywords, prompts, competitor lists, and similar inputs) ("Your Content"). You grant us a non-exclusive, worldwide license to host, process, and use Your Content solely to provide and improve the Service and as described in our Privacy Policy.

6.2 Your responsibilities

You represent that you have all rights necessary to submit Your Content and that doing so does not violate any law or third-party right. If you use the Service as an agency on behalf of clients, you represent that you have the necessary authorization to enter and process their data.

6.3 Scan results

Scan results and the analytics and reports derived from them are generated for your use within the Service. Scan results reflect the outputs of third-party AI engines and search-data providers at the time of scanning and may change over time.

7. Third-Party AI Engines and Data

The Service depends on third-party AI engines (such as those operated by OpenAI, Anthropic, Google, and Perplexity) and search-data providers. We do not control these third parties and are not responsible for their availability, accuracy, outputs, or changes to their services. AI engine outputs may be inaccurate, inconsistent, or change without notice. The Service reports what these engines return; it does not guarantee the correctness of their statements about any brand. Interruptions or changes to third-party services may affect the Service, and we are not liable for such third-party conduct.

8. Intellectual Property

The Service, including its software, design, text, graphics, and all related intellectual property, is owned by CiteFlo or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and your plan. We reserve all rights not expressly granted. You may not use our name, logos, or branding without our prior written permission, except as permitted by white-label features of your plan.

You may use reports and outputs you generate for your own business purposes and, if permitted by your plan, for your clients.

9. Confidentiality and Beta Features

From time to time we may offer features identified as beta, preview, or experimental. These are provided "as is," may be changed or discontinued, and may be less reliable than generally available features. Any non-public information about such features is confidential.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT SCAN RESULTS, SCORES, OR ANALYTICS WILL BE ACCURATE, COMPLETE, OR RELIABLE. THE SERVICE REPORTS THE OUTPUTS OF THIRD-PARTY AI ENGINES, WHICH ARE OUTSIDE OUR CONTROL AND MAY BE INACCURATE. YOU USE THE SERVICE AND RELY ON ITS OUTPUTS AT YOUR OWN RISK.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITEFLO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless CiteFlo and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if your payment fails, if we are required to by law, or to protect the Service, other users, or third parties. You may stop using the Service and cancel at any time as described in Section 3.

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute provisions) will survive. We will handle your data after termination as described in our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of [STATE], United States, without regard to its conflict-of-laws rules. Subject to any applicable mandatory consumer-protection laws in your jurisdiction, you agree that any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in [COUNTY/STATE], and you consent to their jurisdiction. [OPTIONAL: consider an arbitration and class-action-waiver clause here — discuss with counsel.]

  • Entire agreement: these Terms, together with our Privacy Policy and any plan-specific terms, are the entire agreement between you and us regarding the Service.
  • Severability: if any provision is found unenforceable, the remaining provisions remain in effect.

  • Force majeure: we are not liable for failure or delay caused by events beyond our reasonable control.
